Recent changes in securities regulations under amended National Instrument 45-106 legislation require all new and amended Offering Memorandums to include audited financial statements.  There was little advance notice of these changes.  At the same time FCC considers this requirement a very positive development which will positively serve the interests of investors within the exempt securities industry.
FCC is in the process of completing our new/amended Offering Memorandums OMs to once again allow those investors who are not Accredited Investors to participate in the investment opportunities of Foundation Capital Corporation available under the FCC associated offerings.  As soon as those new/amended Offering Memorandums OMs are available, we will once again be able to invite investors to participate as investors under the Offering Memorandum exemption.   We expect the New/Amended OMs to be available in
a few weeks.
